Peter D. Watson, ICD.D

Chairman of the Board

Peter Watson is a Corporate Director and business advisor with extensive experience in risk management, insurance, and transportation. Mr. Watson has held numerous Board positions in publicly traded, private, public sector and NFP corporations in a number of industries including insurance, mining, oil and gas, aviation, technology, health care, and government. Currently Mr. Watson is also a Director of the Institute of Corporate Directors. Prior to becoming fully engaged as a Corporate Director Peter was President and CEO of Willis Corroon Melling Ltd. Mr. Watson holds a B.A. (Com.) from the Royal Military College of Canada and an M.Sc. (Econ.) from the London School of Economics. Peter also attended the Executive Management Program at the Harvard Graduate School of Business and in addition lectured at McGill University. Peter Watson resides in Edmonton.

Jacques Valotaire, FCA, ICD.D

Chairman of the Audit Committee

Jacques Valotaire is a Corporate Director (ICD.D) with extensive experience in the insurance industry. Mr. Valotaire is a member of the Board of Directors of Assumption Life, SCM insurance services and CAA Québec. He is a member of the Departmental Audit Committee at Human Resources and Skills Development Canada and the Independent Review Committees of National Bank Securities Mutual Funds and Global Diversified Investment Grade Income Trust. He also chairs the Actuarial Standards Oversight Council of the Canadian Institute of Actuaries. Prior to becoming fully engaged as a Corporate Director, Jacques Valotaire was Executive Vice President of ING Canada (now Intact Financial Corporation). For more than 15 years, he has held various senior management functions with the ING Group including the positions of President and Chief Executive Officer of ING Groupe Commerce and of Belairdirect . A Fellow Chartered Accountant, Mr. Valotaire holds Bachelor's degrees in Business Administration and in Accounting from Université Laval and has attended the Wharton School Advanced Executive Education Program.

Donald E. Smallwood, ICD.D, CHRP

Chairman of the Corporate Governance and Compensation Committee

Don Smallwood has over 35 years experience in all aspects of human resources in complex environments and an extensive background working with Boards in the private, public, and NFP sectors. Mr. Smallwood is also Vice Chairman of the Investment Committee of the Management Employees Pension Board for the Government of Alberta. Prior to becoming fully engaged as a Corporate Director Don was Senior Vice President Human Resources for EnCana Corporation and Secretary of the Human Resources & Compensation and Pension Committees of the Board of EnCana. Mr. Smallwood holds a B.Com. and an MBA from the University of Alberta. Don Smallwood resides in Calgary.

Ron Lalonde

Member of the Audit Committee

Mr. Lalonde retired from CIBC in December 2010. He joined CIBC in 1987 as an equities research analyst. Subsequent appointments covered most aspects of the business and infrastructure of CIBC. He worked in New York in the equities business and in London as head of CIBC's European operations. He was a member of CIBC's Senior Executive Team between 1999 and 2010. During this period, Mr. Lalonde had responsibility for virtually all of CIBC's administrative and support functions - including finance, human resources, legal and compliance, communications and marketing. He was also appointed interim Chief Risk Officer and managed the Bank's structured credit run-off portfolio. During the last five years of his career at CIBC, Mr. Lalonde headed up the bank's global technology and operations functions.He leads CIBC's retiree campaign for the United Way, chairs the board of the Canadian Stage Company, and acts as a Director of the St Lawrence Centre for the Arts. Mr. Lalonde has a BA degree from the University of Western Ontario and an MBA from the Richard Ivey School of Business Administration. He is also a certified director (ICD.D) of the Institute of Corporate Directors.

Eric Berke

Member of the Corporate Governance and Compensation Committee

Eric Berke joined TorQuest in 2002 and is now a Managing Partner of the firm. Prior to joining TorQuest, Mr. Berke led the turn around and sale of Gustin Kramer, a manufacturer of paper and non-woven consumer products, where he served as the company's President and CEO and controlling shareholder from 1994 to 2002. Mr. Berke also serves as a director for Associated Brands, Global Traffic Technologies, Herbal Magic (Chairman), Firstonsite Restoration (Chairman), Pinova Holdings, Inc., 4Refuel, and the Toronto Board of Trade. Formerly he served as a director of the Canadian Venture Capital Association, Granby Income Fund, GCAN Insurance Company, CNC Global Ltd., and Crescent School. Mr. Berke has been a member of the Young Presidents' Organization since 1994. He holds an MBA from Boston University and a B.A. from the University of Vermont. Eric Berke resides in Toronto.

Alan Lever

Member of the Audit Committee

Alan Lever joined TorQuest Partners at the inception of Fund I in 2002 as one of the first members of the investment team. Alan is a Partner in the firm. Previously, he was with Credit Suisse First Boston in the Investment Banking Division. While there, he was involved in various mergers and acquisitions, debt and equity issuances related principally to the oil and gas, power and utilities sectors. Prior to that, Mr. Lever worked in Equity Research with FirstEnergy Capital, a specialized Calgary based investment bank covering the energy sector. While at TorQuest, Mr. Lever has focused primarily in business services with a specialized sub-focus in the insurance services industry and is a also a director of FirstOnSite Restoration, and 4Refuel. Mr. Lever is also a past director of the Lake of Bays Sailing Club. He holds a B.A. (Honours) degree from the Richard Ivey School of Business at the University of Western Ontario. Alan Lever resides in Toronto

Larry A. Shumka, FCIP

Executive Chairman

Larry Shumka began his career in the insurance services industry over 34 years ago as an adjuster. During the course of his career, he has served as the President for the Insurance Institute of Canada and the Alberta Association of Insurance Adjusters. As an adjuster he specialized in property losses up to 5 million dollars, course of construction, arson and fraud investigation, computer losses, fidelity and surety, business interruption, and construction liability losses. Mr. Shumka belongs to the Fellowship of Chartered Insurance Professionals. With a degree in Business Management from the University of Alberta, he also has training in negotiation, aircraft accident investigation, managing and developing interpersonal relationships, and is a licensed pilot. Mr. Shumka resides in both Edmonton and Toronto.
